ユナイテッド・アーバン投資法人と日本コマーシャル投資法人が合併へ

ユナイテッド・アーバン投資法人(UUR)と日本コマーシャル投資法人(NCI)が合併の基本合意を締結した。UURが存続投資法人、NCIが消滅投資法人となる。合併効力日は12月1日。NCIは、旧スポンサーであるパシフィックホールディングスが平成21年3月会社更生申請以後事実上スポンサー不在となっており、新スポンサーの選定を進めていた。合併比率はUUR:NCI=6:1。端数投資主を考慮し合併時にUURの投資口を6分割する。合併後のUURは、資産規模拡大とともに合併に伴う負ののれんの活用や投資口分割に伴う流動性向上を見込む。一方、NCIは11月26日に上場廃止となる予定。また投資法人の合併に先立ち、UURの資産運用会社がNCIの資産運用会社の全株式を6月末に取得する。
