日本賃貸住宅投資法人とプロスペクト・リート投資法人が合併基本合意を締結

日本賃貸住宅投資法人(JRH)とプロスペクト・リート投資法人(PRI)が合併の基本合意を締結した。JRHが吸収存続投資法人となり、PRIは解散する。これにより合併後のJRHの資産規模は取得価格の単純合計で1,700億円のレジデンスREITとなる見込み。合併比率はJRH:PRI=1:0.75。端数投資主を考慮し、投資口分割を予定しているが、分割割合は未定。併せてJRHの資産運用会社であるミカサ・アセット・マネジメントが、PRIの資産運用会社の全株式を取得することで、資産運用会社も合併する。また、JRHは両方のスポンサー又はスポンサーが指定する第三者を割当先とする第三者割当増資を合併時に行う。調達資金50億円は、PRIから引き継ぐ借入金の一部返済に充当する予定。合併契約は3月、合併効力日は7月1日予定。
