日本賃貸住宅投資法人(RRI)が、アメリカを本拠地とする投資会社のオークツリー・キャピタル・マネジメントが運用するファンド（以下オークツリー）に対し第三者割当増資を行う。70,000口の新投資口を発行（うちオークツリーのファンドに対し63,000口）により、発行後の投資口数は72%増加、167,477口になる（図表１）。発行価額は6月19日の終値ベースでの上場来最安値である175,000円。調達資金は主に借入金の返済に充当するが、投資口の大幅増加に伴い第5期（平成20年9月期）の予想分配金は5,766円と大幅な下方修正（図表２）となる。 またRRIは、オークツリーが公表した投資口の公開買付に関しJPモルガン証券をファイナンシャルアドバイザーに選任し、賛同することを公表した。公開買付価格は260,000円、買付予定の上限投資口数は18,063口。公開買付条件は変更される可能性もあるが、オークツリーは総発行投資口の48.4%を1口当たり194,000円弱で取得できることになる。なお、オークツリー側のプレスリリースによれば、当該公開買付は上場維持を前提としたものとしている。 第三者割当増資及び公開買付に伴い、オークツリーはRRIの資産運用会社の株式35%をリプラスから取得し（図表３）、取締役を派遣する予定としている。
