フロンティア不動産投資法人（FRI）のスポンサーである日本たばこ産業（JT）が、資産運用会社であるフロンティア・リート・マネジメント（FRM）の全株式を3月24日に三井不動産へ売却する。この取引に伴い資産運用会社名称は、三井不動産フロンティアリートマネジメント(株)に変更される予定。JTは株式売却後2年間は利害関係人として運用に関わるものの、事実上J-REITから撤退し、FRIは三井不動産傘下のJ-REITとなる。併せて、FRIは三井不動産に対し第三者割当による投資口追加発行を行う。発行口数は14,600口。これにより三井不動産は、FRIの投資口を11.7%保有する筆頭投資主となる予定。 FRIはJTとパイプライン契約を活用して物件を取得してきたが、JTの資産売却が進み今後の外部成長余地が少なくなっていた。この点からFRIは持続的な成長と更なる発展のために、三井不動産にスポンサーを変更することとなった。FRIは、三井不動産グループが保有する商業施設6物件の優先交渉権を取得する。一方、三井不動産は商業施設REITを立ち上げるべく準備を進めていたが、この取引に伴い、独自で設立していた資産運用会社及び投資法人を解散する予定。
